1. Subject

These Terms and Conditions govern the use of Giovanni Montanaro's website (VAT: IT03470280730, Registered Office: Marina di Ginosa (TA), 74025) and access to the demonstrative applications (Sandboxes) and B2B consulting services offered.

2. B2B Model and Jurisdiction

The services and architectures offered are directed exclusively at subjects acting for purposes related to their trade, business, craft, or profession (B2B). Therefore, EU and Italian consumer protection provisions (e.g., the Italian Consumer Code), including the standard 14-day withdrawal right, do not apply. Any legal dispute shall be subject to the exclusive jurisdiction of the Court of Taranto, applying Italian law.

3. Nature of Sandboxes (Proof of Concept)

The Sandboxes, interactive simulations, and diagnostic reports (e.g., Audit Triage) present on the site are provided solely for demonstrative and conceptual purposes (Proof of Concept). Output data, including any reports generated by third-party Artificial Intelligences, constitute algorithmic estimates and in no way represent definitive business, legal, or tax advice. The Client explicitly indemnifies and holds Giovanni Montanaro harmless from any liability for business decisions or investments based on the results of such preliminary simulations.

4. Services and Architectural Scope

Actual system architecture, management consulting, and process automation services will only be provided following a cognitive triage and governed by a specific contract ("Scope of Work") digitally signed by the parties. This agreement will establish metrics, costs, and service level agreements (SLAs) for the production systems.

5. Technological Liability Exclusions

Giovanni Montanaro designs asynchronous architectures relying on market-leading providers (e.g., Vercel, OpenAI, Cloudflare, Meta). The Controller declines any liability for indirect damages, loss of profit, or service interruptions arising from downtime, API obsolescence, or malfunctions of the third-party infrastructure upon which the automations rely. The site's AI Assistant is designed to filter requests and may be subject to "hallucinations"; its abusive use, sending of spam, or Prompt Injection attempts will result in the permanent ban of the offender's IP address.

6. Intellectual Property

All website content (including the proprietary code of Sandboxes V2 and V3, described methodologies, text, graphics, and logos) is the exclusive property of Giovanni Montanaro and protected by applicable copyright and trade secret laws.
